We help client’s structure investments to minimize costly bidding wars, obtain protections such as breakup and topping fees, minimize the risks of successor liability, defer and/or reduce tax liabilities, and otherwise take advantage of the procedural and substantive protections offered by bankruptcy. Working with corporate and tax lawyers where appropriate, we are able to handle all aspects of distressed mergers and acquisitions transactions.

Our attorneys work with our clients at every step of the approval process: structuring the transaction, conducting due diligence, facilitating appropriate information exchange between competitors, devising a strategy to avoid gun jumping, drafting contractual provisions relating to the merger review process and other antitrust aspects of the transaction, preparing and filing premerger notification materials, representing clients in in-depth merger investigations, developing substantive defenses, devising and negotiating remedies with the enforcement agency where required, and generally working towards a coordinated timetable and outcome throughout the various jurisdictions involved in the approval process.
